Overview
This Marketplace User Agreement governs how seller-side marketplace activity works on GrowLab Market. We may ask you to accept the current version before posting a listing, editing a listing, importing listings, or otherwise using seller tools on GrowLab Market.
GrowLab Market is a listing and discovery platform only. The platform is not the seller, buyer, shipper, broker, agent, payment processor, escrow provider, or warehouse for items listed by users.
Who may use the marketplace
You may use GrowLab Market only if:
- You can form a binding agreement under applicable law
- The information you provide is accurate and current
- Your use of the service does not violate any law, regulation, permit condition, quarantine rule, wildlife rule, or third-party right
- You are using the service for lawful items and lawful marketplace activity only
If you act on behalf of a business, grower, shop, or organization, you confirm that you have authority to bind that entity to this agreement.
Platform role and transaction boundary
GrowLab Market provides tools to:
- Create and display listings
- Discover sellers and items
- Share profile and contact details
- Moderate listings, reports, and account activity
GrowLab Market does not:
- Verify every listing before it is published
- Guarantee that a seller owns, can legally sell, or can lawfully ship an item
- Guarantee the health, authenticity, safety, legality, origin, or condition of any item
- Process or hold payments between users
- Guarantee deliveries, meetups, refunds, replacements, or transaction completion
All communication, payment arrangements, reservations, shipping, pickup, refunds, and dispute resolution happen directly between users unless GrowLab Market explicitly states otherwise.
Seller responsibilities
If you post or manage listings, you agree that:
- You have the legal right to possess, advertise, and sell the item
- Your listing is truthful, complete, and not misleading
- Your photos reasonably represent the actual item or stock offered
- Your title, description, condition, quantity, location, and contact details are accurate
- You will clearly disclose defects, missing parts, substitutions, disease, pests, damage, or known risks
- You will comply with all laws and regulations that apply to the item, including permits, protected species rules, quarantine restrictions, transport restrictions, and wildlife or agricultural regulations where relevant
- You will not post stolen, counterfeit, diverted, or unauthorized goods
- You will not use GrowLab Market to launder inventory, evade regulation, or misrepresent commercial identity
For plants, livestock, aquatic species, and related hobby items, you remain responsible for lawful sourcing, lawful transfer, and any health, invasive-species, or biosecurity obligations that may apply to the item.
Buyer responsibilities
If you buy, reserve, or inquire about an item, you agree to use reasonable judgment before completing a transaction. That includes confirming current photos, actual quantity, condition, price, meetup or shipping terms, and the seller's ability to transfer the item lawfully.
Prohibited items and conduct
You may not list, request, advertise, or coordinate through GrowLab Market any item or conduct that is illegal, unsafe, deceptive, or prohibited by platform policy. Prohibited activity includes:
- Illegal, protected, restricted, or unlawfully sourced plants, animals, fish, shrimp, wildlife, or biological material
- Hazardous, toxic, or regulated chemicals offered without required authority or disclosures
- Counterfeit, stolen, infringing, or misrepresented goods
- Weapons, ammunition, explosives, or unlawful controlled items
- Fraud, impersonation, bait-and-switch listings, fake availability, or fake pricing
- Spam, scraping abuse, malicious uploads, or attempts to disrupt the platform
- Content that is abusive, harassing, defamatory, sexually exploitative, hateful, or otherwise unlawful
- Any listing that encourages buyers to break the law or bypass applicable import, export, quarantine, or permit requirements
GrowLab Market may remove or restrict any content that appears risky, misleading, unsafe, or inconsistent with the community or legal obligations of the platform.
Listing accuracy and moderation
You understand that GrowLab Market may:
- Review, hide, remove, or reject listings
- Ask for additional photos, proof of ownership, proof of sourcing, or supporting information
- Limit visibility of listings or accounts
- Suspend or terminate seller access
- Preserve records and cooperate with legal, regulatory, or safety-related requests when reasonably required
The platform may act with or without prior notice where immediate action is reasonably necessary to protect users, the marketplace, or compliance obligations.
User content and license
You keep ownership of the photos, descriptions, usernames, and other content you submit. However, by posting content on GrowLab Market, you grant GrowLab Market a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for formatting, publish, display, distribute, and moderate that content for operation, safety, promotion, support, and improvement of the marketplace.
This license continues for as long as needed to operate the service and maintain reasonable backups, legal records, abuse-prevention records, or cached copies.
You represent that you have the rights needed to grant this license and that your content does not violate another person's rights.
No platform guarantee
GrowLab Market does not guarantee:
- Sale outcomes or buyer interest
- Seller honesty or buyer reliability
- Item legality, health, or fitness for purpose
- Continuous platform availability
- Error-free moderation, notifications, ranking, or search results
The service is provided on an as is and as available basis to the maximum extent allowed by law.
Payments, shipping, refunds, and disputes
GrowLab Market does not handle payment or delivery for marketplace listings. Because transactions occur directly between users:
- GrowLab Market is not responsible for chargebacks, failed meetups, shipping loss, payment fraud, refund disagreements, or item condition disputes
- Users are solely responsible for their own transaction records, proof, delivery choices, and payment safety practices
- Any refund, replacement, or return arrangement is between the buyer and seller unless applicable law requires otherwise
Account suspension and termination
GrowLab Market may suspend, limit, or terminate access if it reasonably believes that you:
- Violated this agreement
- Posted prohibited or unlawful items
- Repeatedly misled users
- Created legal, trust, safety, operational, or reputational risk for the platform or other users
You may also stop using the service at any time. Removing your account does not automatically erase records that GrowLab Market reasonably needs for security, fraud prevention, legal compliance, backups, or dispute documentation.
Limitation of liability
To the maximum extent permitted by applicable law, GrowLab Market and its operators will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost business, lost data, or transaction losses arising from user listings, user transactions, or marketplace use.
If applicable law does not allow a full exclusion of liability, the platform's liability will be limited to the smallest amount permitted by law.
Indemnity
You agree to defend, indemnify, and hold harmless GrowLab Market and its operators from claims, liabilities, losses, costs, and expenses arising out of:
- Your listings or user content
- Your items or transactions
- Your violation of this agreement
- Your violation of law or another person's rights
Changes to this agreement
GrowLab Market may update this agreement from time to time. If the updated version materially affects seller obligations, posting rules, platform rights, or risk allocation, GrowLab Market may require you to accept the new version before you continue using seller tools.
Acceptance timing
GrowLab Market aims to request acceptance at moments where legal responsibility becomes relevant, such as before posting, editing, importing, or managing listings. We may also show reminder links in account surfaces so you can review the current version before you need it.
Governing law
Unless applicable law requires otherwise, this agreement is governed by the laws applicable to GrowLab Market's operation in the Republic of the Philippines.
